Ashworth, Inc. Announces Filing of Form 12b-25 Requesting Extension of Time to File Its Annual Report on Form 10-K for Fiscal Year Ended October 31, 2005

Ashworth, Inc. (NASDAQ:ASHW), today announced that it isfiling a notification with the Securities and Exchange Commission onForm 12b-25 pursuant to which it is requesting an extension of time tofile its Annual Report on Form 10-K for the fiscal year ended October31, 2005.

As previously reported, the Company is in negotiations with UnionBank of California N.A., as Agent for its banking syndicate, on anamendment to its bank line of credit and has tentatively agreed to aproposed term sheet. The purpose of this amendment is, among otherthings, to address the Company's current non-compliance with certainfinancial covenants. The time associated with this process hasprevented the Company from finalizing its financial statements andproviding the necessary supporting documentation to its auditor. As aresult, the Company's auditor was unable to complete its audit of theCompany's financial statements within the applicable period of time.

The Company anticipates that it will be in a position to file theForm 10-K no later than the fifteenth calendar day following the dateon which the Form 10-K was due. Further, assuming the Company obtainsthe amendment to the loan agreement, the Company does not anticipatethat there will be any material changes in the Company's financialresults and status as previously reported in its December 22, 2005earnings release.
