Ad hoc announcement pursuant to Section 15 of the German Securities
Trading Act (WpHG)
SKion GmbH has informed ALTANA AG that it has fixed the cash
compensation for the transfer of shares of the remaining shareholders
(minority shareholders) of ALTANA to SKion GmbH (Squeeze out) at €15.01
per share. SKion GmbH thereby specifies its request of February 2, 2010
pursuant to section 327a (1) of the German Stock Corporation Act that
the ALTANA shareholders‘ meeting resolves a transfer of the remaining
shares to the major shareholder in return for an appropriate cash
compensation (squeeze out). At the Annual General Meeting of ALTANA to
be held on June 30, 2010 in Duisburg a resolution to this effect is to
be passed.
