Execuserve Corp., a privately held company, announced today that it is
currently negotiating a definitive acquisition agreement with Compliance
Systems Corporation (OTCBB: COPI). Presently, in place is a signed
Memorandum of Understanding under which Execuserve would become a wholly
owned subsidiary. The two companies already have an exclusive licensing
agreement for COPI to distribute Execuserve's Hire-Intelligence(TM) and
Hire-Choice(TM) software programs, which conduct dynamic assessments of
prospective job seekers with embedded features, including artificial
intelligence.
Call Compliance, Inc., a wholly owned subsidiary of Compliance Systems
Corporation, has a group of loyal call center customers for their
"Do-Not-Call” solutions. The company believes that Execuserve’s past
experience helping call centers improve hiring and retention, as well as
on-the-job performance, will create significant revenue potential
marketing to the more than 50,000 domestic call centers. "Of course, we
will also market our services in other verticals assisting organizations
with their hiring needs," stated Jim Robinson, CEO of Execuserve.
Execuserve has developed a full range of job candidate assessment and
management tools, including skills testing, literacy testing, spoken
language and listening comprehension tests, in addition to its
proprietary Hire-Intelligence and Hire-Choice behavioral assessments
tools. Execuserve recently added an online video interviewing product,
VideoView, which is available in either Hire-Choice, Execuserve’s online
hiring system which is aimed at small and midsized businesses, as well
as in the more full-featured Hire-Intelligence system.
