agreement to be acquired by CCMP Capital Advisors, LLC in a cash
transaction valued at approximately $635 million, including the
refinancing of Infogroup’s outstanding indebtedness.
Under the terms of the agreement entered into by the parties, Infogroup
shareholders will receive $8.00 in cash for each share of Infogroup
common stock they hold. Completion of the transaction is expected to
occur in early-summer 2010. The investigation concerns possible breaches
of fiduciary duty and other violations of law related to approval of the
going-private transaction by the Infogroup board of directors.
