The Briscoe Law Firm, PLLC, founded by a former state prosecutor and
enforcement attorney for the United States Securities and Exchange
Commission, and the law firm of Cash Powers Taylor, LLP are
investigating potential legal claims against the Board of Directors of
infoGroup, Inc. ("infoGroup”) (Nasdaq: IUSA) relating to the proposed
acquisition of infoGroup by the private equity firm CCMP Capital
Advisors, LLC ("CCMP Capital”). The agreement, which was announced on
Monday, March 8, 2010, involves a cash transaction valued at
approximately $635 million, including the refinancing of infoGroup’s
outstanding indebtedness, under which infoGroup shareholders will
receive $8.00 in cash for each share of
infoGroup common stock
they hold. The transaction is expected to close in early-summer 2010.
The investigation relates to possible breaches of fiduciary duty and
other violations of state law by the Board of Directors of infoGroup for
approving this transaction, whether the consideration to be received by
infoGroup shareholders is fair, and whether infoGroup’s Board of
Directors acted in the shareholders’ best interests.
