Vornado Realty Trust (NYSE:VNO) today announced that Vornado Realty
L.P., the operating partnership through which it conducts its business,
has priced an offering of $400 million aggregate principal amount of
7.875% callable senior unsecured 30-year notes due October 1, 2039.
Interest on the notes will be payable quarterly in arrears on each
January 1, April 1, July 1 and October 1, commencing January 1, 2010.
The notes were offered to the public at $25 per note and may be redeemed
at Vornado Realty L.P.’s option in whole or in part beginning October 1,
2014, at a price equal to their principal amount plus accrued and unpaid
interest. The estimated net proceeds of $388 million from the offering
will be used for general business purposes. Subject to customary closing
conditions, the offering is expected to close on September 30, 2009.
Citigroup Global Markets Inc., Banc of America Securities LLC, Morgan
Stanley & Co. Incorporated, UBS Securities LLC and Wells Fargo
Securities, LLC are serving as joint book-running managers for this
offering and have a 30-day option to purchase up to an additional
$60 million of the notes to cover any over-allotments.
