Allion Healthcare Announces Results of Annual Shareholders Meeting

Allion Healthcare (NASDAQ: ALLI) today announced the successful
completion of it’s annual meeting held on June
24, 2008 at which three new directors were elected to serve on its six
member Board. The shareholders also approved the issuance of 6,125,448
shares of common stock reflecting the one-for-one conversion of Series
A-1 Preferred Stock issued as part of the merger consideration for the
acquisition of Biomed America, Inc. ("Biomed”).
During the meeting, shareholders approved the election of William R.
Miller, IV and Kevin D. Stepanuk both of whom were nominated by the
former shareholders of Biomed pursuant to certain terms of the Biomed
merger. The shareholders also approved the election of William T. Derr
who fills the vacancy created by the resignation of Russell J. Fichera
to become Allion’s Chief Financial Officer.
Messrs. Miller, Stepanuk and Derr all qualify as independent directors
and will join Michael P. Moran, Gary P. Carpenter and Harvey Z.
Werblowsky, Esq. who also stood for and were approved for re-election at
the meeting.
