The Phoenix Companies, Inc. (NYSE: PNX) announced today that it filed a
shelf registration statement on Form S-3 with the Securities and
Exchange Commission (SEC). The shelf registration replaces the company’s
previous shelf registration, which expired on November 30, 2008.
Under the shelf registration process, Phoenix registered various classes
of securities it may sell in one or more future offerings. Phoenix is
not currently considering any offering of securities under the shelf
registration, with a possible exception relating to the Capital Purchase
Program of the U.S. Department of the Treasury’s Troubled Asset Relief
Program. The company has applied to the program, but any related
offering of securities would depend on Phoenix both being approved and
electing to participate.
