London, 12 June 2012 -- Moody's Investors Service has today assigned a Baa2 rating to EUR 500 million 2022 notes to be issued by K+S AG. The outlook is stable.

RATINGS RATIONALE

The Baa2 rating assigned to the new notes reflects its pari passu ranking with the existing unsubordinated unsecured obligations of the issuer. The notes benefit from the negative pledge provision with respect to all capital market indebtedness of the group and from a change of control put option.

K+S' Baa2 Long Term Issuer Rating reflects Moody's positive assessment of the company's business position as the fourth largest producer of potash fertilizers in a highly consolidated market and as the global leader in production of salt products. The business position assessment also reflects the relatively high potash production costs at the company's main German facilities, compared to larger global competitors, and the relatively short life of the some of the German mines, as well as the on-going effort to reinvest the capital into new potash facilities in Canada, that should allow K+S to extend the reserve life and improve its relative cost position over a period of time. As a result of several acquisitions in the salt markets, K+S has established strong global leadership positions in this cash generative business, which should mitigate in part the inherent cyclicality of the fertilizers business and offer additional cash flow to support the significant investment in the new potash facilities in Canada in the medium term.

The stable outlook reflects our expectations of a sustained strength in the potash markets, reflected in the prices and relatively high utilization rates, although moderating from 2011 levels. K+S should continue to generate strong cash flows in this environment to support its sizable investment projects, including in Canada.

We note that K+S maintains strong liquidity, underpinned by high cash balances, to be further supported by the recently announced disposal of the nitrogen fertilizer business. Cash reserves should allow additional flexibility in implementing strategic investment plan in a more volatile economic environment. At the end of 1Q 2012, the company reported EUR 766 million in cash balances and marketable securities. On the 1Q 2012 LTM basis, its leverage remained modest and stood at 0.9x on Debt/EBITDA basis with FCF/Debt at 12.3%.

Based in Kassel, Germany, K+S AG is the world's fourth largest potash fertilizer producer and the world's leading salt producer. In 2011, K+S AG reported revenues of EUR 5.15 billion (EUR 4.6 billion in 2010) and EBITDA of EUR 1.2 billion (EUR 0.95 billion in 2010).

Schleswig-Holsteins Ministerpräsident Albig hat mit einer Forderung nach einer Sonderabgabe für Straßen für Aufsehen gesorgt.
Wenn so endlich die deutschen Straßen und Brücken saniert werden, wäre eine solche Abgabe zu unterstützen.
Die Regierung sollte endlich lernen, mit den bestehenden Einnahmen auszukommen.
Eine solche Abgabe berücksichtig weder den Umfang der Straßennutzung noch die finanzielle Situation des einzelnen Autofahrers und wäre deshalb ungerecht.
