Lockheed Martin Corporation -- Moody's: Lockheed Martin's exchange offer will not affect its Baa1 rating or stable outlook

New York, November 16, 2012 -- Moody's Investors Service views the exchange offer announced by Lockheed Martin Corporation (Lockheed Martin or the company) on 14 November 2012 as a modest credit positive development. The company is seeking to exchange up to $3.417806 billion of its outstanding higher cost debt (with coupons ranging from 5.50% to 8.50% and maturities of 2023-2040) for new debentures (with a coupon of 4.07% and a 2042 maturity date) and an additional cash amount. Moody's expects that it will assign Baa1 ratings to the new exchange notes -- a level equivalent to that for the senior unsecured notes under solicitation for exchange -- upon conclusion of the offering in December 2012, as currently anticipated.
