Moody's confirms the rating of the Class A Dutch RMBS notes issued by DARTS Finance B.V. (Amstelhuys 2005 NHG Pool)

Approx. EUR 1 billion of rated debt securities affected

London, 09 October 2012 -- Moody's Investors Service has today confirmed the rating of the Class A notes issued by DARTS Finance B.V. (Amstelhuys 2005 NHG Pool) (the "Issuer"):

EUR 945M floating rate Senior Class A Mortgage-Backed Notes 2005 due 2064, Confirmed at Aa1(sf); previously on 23 March, 2012 Placed Under Review for Possible Upgrade.

Today's rating action concludes the review for possible upgrade that was initiated for the Class A Notes on 23 March 2012.

The transaction represents the securitisation of Dutch prime mortgage loans benefitting from an NHG-guarantee and backed by residential properties located in the Netherlands and originated by Amstelhuys N.V. (not rated). The portfolio is serviced by Delta Lloyd Bank N.V. while part of the servicing tasks is sub-delegated to Stater. The transaction originally closed in 2005.

On 23 March 2012 the issuer entered into supplemental and revised transaction documents in order to issue the Class S notes against the partial redemption of the Class A notes. The review of the Class A note was prompted by increased credit enhancement of 5.5% that is provided through the newly issued Class S note while additional amendments to the swap arrangements were expected, however not completed at the time.

RATINGS RATIONALE

The confirmation of the Class A notes follows Moody's conclusion that since the review action was taken, whilst additional amendments were made to the swap arrangements, still no remedial actions are taken by the swap counterparty. This has the effect of increasing the linkage between the Notes and the swap counterparty.

On 21 June 2012, Moody's downgraded the long term senior unsecured rating of The Royal Bank of Scotland ("RBS") acting as swap counterparty to A3 from A2. This resulted in a "ratings event" under executed deed of undertaking (the "Deed") relating to the swap arrangements.

Pursuant to the Deed (signed 18 June 2012), remedial actions are - by way of paraphrase - (a) transferring the swap agreement to a third party, (b) obtaining a guarantee, (c) posting collateral in the form of cash or securities and (d) taking some other action which Moody's has confirmed will not negatively affect the ratings of the notes.

As part of its analysis, Moody's also reviewed the performance of the transaction collateral. The key parameters in Moody's analysis are the credit quality of the underlying mortgage loan pool, from which Moody's determined the MILAN Credit Enhancement and the portfolio expected loss.

Based on Moody's revised assessment of these parameters (including the Deed), the expected portfolio loss of the portfolio and the MILAN required Credit Enhancement remained unchanged at 0.14% and 4.5% respectively. This resulted in the confirmation of the Class A notes. While actual remedial actions have not occurred to date, Moody's will continue to monitor the performance of the transaction (including class S notes) closely.

Other Factors used in this rating are described in the Rating Implementation Guideline, Framework for De-Linking Hedge Counterparty Risks from Global Structured Finance Cashflow Transactions published in October 2010.

Moody's notes that on 2 July 2012 it released a Request for Comment in which the rating agency requested market feedback on potential changes to its rating implementation guidance for the hedge counterparty risk in structured finance transactions. If the revised rating implementation guidance is implemented as proposed, the rating of the Notes may be negatively affected. Please refer to Moody's Request for Comment, entitled "Approach to Assessing Linkage to Swap Counterparties in Structured Finance Cashflow Transactions" for further details regarding the implications of the proposed methodology changes on Moody's ratings.

In rating this transaction, Moody's used ABSROM to model the cash flows and determine the loss for each tranche. The cash flow model evaluates all default scenarios that are then weighted considering the probabilities of the lognormal distribution assumed for the portfolio default rate. In each default scenario, the corresponding loss for each class of notes is calculated given the incoming cash flows from the assets and the outgoing payments to third parties and noteholders. Therefore, the expected loss or EL for each tranche is the sum product of (i) the probability of occurrence of each default scenario; and (ii) the loss derived from the cash flow model in each default scenario for each tranche.

As such, Moody's analysis encompasses the assessment of stressed scenarios
