Precision Castparts Corp. -- Moody's says Precision Castparts $3 billion acquisition of Timet is credit negative

Titanium Metals zu myNews hinzufügen Was ist das?

$200 million of rated long-term debt

New York, November 12, 2012 -- Moody's Investors Service said Precision Castparts Corp. (PCP, A2/Prime-1) agreement to purchase Titanium Metals Corporation (Timet) for roughly $3 billion offers strong strategic benefits to PCP, is consistent with Moody's understanding of the company's strategy, and can be accommodated within the existing rating category, but is considered credit negative for several reasons. Those include the surge anticipated in the company's debt levels, increased dependence upon the cyclical commercial aerospace sector and short-term diminishment of the company's liquidity. In addition, while the company has a good track record of integrating acquired operations, the cumulative volume of acquisitions and significance of the Timet transaction may tax PCP's ability to smoothly meld the acquired operations at the same time it is ramping production for the anticipated higher build-rates of commercial aircraft over the next two years.

For further information, please see www.moodys.com.

The last rating action on PCP was on September 2012 at which time its senior unsecured and short-term ratings were upgraded to A2 and Prime-1 respectively.

The principal methodology used in rating PCP was the Global Aerospace and Defense Industry Methodology published in June 2010. Please see the Credit Policy page on www.moodys.com for a copy of this methodology.

Precision Castparts Corp., headquartered in Portland, OR, produces castings, forgings and fasteners for aerospace, power generation, and industrial end-markets. Revenues in fiscal 2012 were approximately $7.2 billion.
