Qtel International Finance Limited -- Moody's assigns (P)A2 rating to Qtel's GMTN programme

London, 06 December 2012 -- Moody's Investors Service today assigned a (P)A2 rating to the Global Medium Term Notes Programme of Qatar Telecom (Qtel) Q.S.C. ("Qtel"), which is issued by Qtel International Finance Limited ("QIF").

RATINGS RATIONALE

The notes under the programme will be issued by QIF, a Bermuda-based finance vehicle wholly-owned by Qtel. The notes rating is in line with Qtel's issuer ratings as Qtel will unconditionally and irrevocably guarantee the notes and the notes will rank pari passu with all other unsecured and unsubordinated debt of Qtel. The terms and conditions of the notes include (amongst others) a negative pledge with certain carve-outs, a cross-default clause to Qtel's debt and a change of control clause.

This is the second GMTN programme that Qtel has set up. It has been registered in the Republic of Ireland and complements a USD5 bn GMTN programme (rated (P)A2) that has been registered in the United Kingdom and which Qtel has utilised with the issuance of notes at a par value of USD4.25 bn.

The principal methodology used in rating Qatar Telecom and Qtel International Finance Limited was the Global Telecommunications Industry Methodology published in December 2010. Qtel, headquartered in Doha/Qatar, is Qatar's incumbent, fully-integrated telecommunications network and services provider. Qtel is directly 51.67% government-owned. Until 2009, Qtel was the sole provider of domestic fixed-line and mobile services and operates in 16 countries with a presence in 17 countries. For the first nine months of 2012, Qtel posted total revenues of QR25 billion (USD6.9 billion) and a net profit of QR4 bn (USD1.1 bn).
