Wandelanleihen

Eine Wandelanleihe – oder Convertible Bond – ist eine Mischung aus Unternehmensanleihe und Aktie. Wie eine gewöhnliche Anleihe hat sie eine feste Laufzeit und einen Zinskupon. Eine Sonderform von Wandelanleihen sind Umtauschanleihen. Hier wird die Anleihe in Aktien eines anderen Unternehmens als die des Emittenten getauscht. Das Recht, die Anleihe in Aktien zu tauschen, wird Wandelrecht genannt. Es ist an verschiedene Bedingungen geknüpft, die von Papier zu Papier höchst unterschiedlich ausfallen – was die Vergleichbarkeit für Anleger nicht gerade vereinfacht. Eine der Bedingungen ist der Wandelpreis. Dieser liegt zum Zeitpunkt der Emission der Anleihe über dem Kurs der Aktie. Bei einer Parität von 100 Prozent stimmen Nominalwert der Anleihe und Gegenwert der Aktien überein. Ist die Parität größer als 100 Prozent, lohnt sich eine Wandlung in Aktien – dann locken Kursgewinne, da der Wert des Wandlers den Nominalbetrag übersteigt. Der Kurs einer Anleihe liegt meistens über dem inneren Wert. Grund ist die Wandlungsprämie. Dieser Aufschlag lässt sich mit dem Risikopuffer erklären, den Wandelanleihen im Gegensatz zu Aktien bieten. Denn auch wenn der Aktienkurs fällt, erhalten Anleger den Nominalwert der Anleihe am Laufzeitende zurück.
