Camac Fund and DJA Partners Nominate Five Independent Directors to Urgently Unlock Shareholder Value at CreateAI Holdings
SAN DIEGO, Sept. 26, 2025 /PRNewswire/ -- Camac Fund, LP ("Camac Fund") and DJA Partners, LP ("DJA Partners") (together, the "Nominating Stockholders"), announce the nomination of five highly qualified, independent candidates for election to the Board of Directors of CreateAI Holdings Inc. ("CreateAI" or the "Company") (formerly TuSimple Holdings, Inc.) at the upcoming 2025 Annual Meeting of Stockholders.
The Nominating Stockholders, who collectively beneficially own approximately 14.2 million shares, or 7% of the Company's outstanding stock, are seeking to restore accountability and explore all avenues to maximize shareholder value. This urgent action is required following the severe destruction of value, evidenced by the fact that CreateAI's market value has collapsed by nearly 99% since July 2021. During this time, the company delisted, deregistered, purportedly shifted to an entirely unrelated business, engaged in troubling related-party transactions, and attempted to classify the board.
The Nominating Stockholders believe the Company must immediately consider all strategic options, including the monetization of assets and liquidation, both of which should include returning capital to shareholders.
The five independent nominees bring deep expertise across finance, governance, global policy, law, and capital markets:
- Carson Mitchell – Managing Member, Shipyard Capital Management; former Partner, Firefly Value Partners
- General Douglas E. Lute – Former U.S. Ambassador to NATO; retired U.S. Army Lieutenant General
- Danil Kerimi – Senior Advisor to the UN Tech Envoy; former executive at AWS and the World Economic Forum
- Ben Appel – Vice Chairman, Newmark Real Estate Capital Markets; healthcare real estate expert.
- Abbott Cooper – Attorney, Abbott Cooper PLLC; Managing Member, Driver Management Company
"These independent candidates' combined investment acumen, governance expertise, and global leadership experience will bring the accountability and urgency CreateAI desperately needs to protect and enhance shareholder value," said Eric Shahinian and Daniel Abrams, Managing Members of Camac Fund and DJA Partners GP, respectively.
