EQS-Adhoc: Cherry SE: Sale of the Hygienic Input Devices Business to Contour Design

Munich, 8 May 2025 – Cherry SE today entered into an agreement for the sale of the hygienic input devices business (formerly Active Key GmbH), part of the Cherry SE group, to the Danish peripherals manufacturer Contour Design Nordic A/S.

The agreed purchase price comprises a fixed component of EUR 12.5 million, payable upon closing and subject to a net working capital adjustment, as well as a variable component of up to approximately EUR 8.5 million. The variable purchase price is contingent upon the achievement of certain financial performance targets.

The hygienic input devices business will be transferred to Contour Design Nordic A/S by way of an asset deal involving the relevant assets of this business segment. The closing of the transaction is subject to the fulfillment of customary closing conditions and is expected to take place in the second quarter of 2025.
