Issuance of two convertible bonds to accelerate growth and acquisition of three real estate project companies

Hamburg, 6 October 2025 - Readcrest Capital AG (‘Readcrest’, ISIN: DE000A1E89S5) decided this morning to issue two convertible bonds in order to implement the resolutions passed at the last Annual General Meeting to reposition the company as an opportunity-oriented real estate company.

Firstly, Readcrest issued a five-year convertible bond with an interest rate of 5% p.a. and a conversion price of EUR 1.80 per share against cash contributions. The bond was placed in full with an institutional investor. The funds are to be used for further growth, the acquisition of additional projects and the financing of existing projects.

Dr Marcus Kiefer, CFO of Readcrest, comments: ‘Above all, the conversion price of EUR 1.80 per share reflects expectations to us in terms of the performance of our business. Even though we are still in the early stages of our development, we have succeeded in securing bond terms that enable value-enhancing management for our shareholders.’

Secondly, Readcrest's governing bodies have decided to issue a convertible bond for the acquisition of three real estate project companies. At the same time, parts of the insolvent former business operations of AOC | Die Stadtentwickler GmbH (‘AOC’) will be transferred.
